AGI Referral Representative Program Terms and Conditions |

| This Agreement outlines the terms and conditions that apply to participants in the AGI Referral Representative Program. In the Agreement, "we" and "us" refer to Alphanumeric Group Inc. (AGI) and "you" refers to the participant as an individual and/or as an organization. AGI reserves the right to cancel this agreement if we determine (at our sole discretion) an Referral Rep does not meet the provisions or spirit of this agreement. |

About the AGI Referral Representative Program |
|
|
The AGI Referral Representative Program (the "Program") is free to join and easy to use. As a participating referral Representative ("Referral Rep"), you simply identify potential business opportunities and refer them to the Alphanumeric Group, www.agiets.com, website. You decide how much or how little effort you want to commit to building your business. To simplify the process for Referral Reps, we provide you with an automated process that allows you to monitor the progress and commissions due for each referral.
- Referral Rep Membership: Anyone can sign up for our Referral Rep Membership Program and earn money by identifying potential purchasers of our various product and service offerings. Each time one of your referred prospects becomes a customer by purchasing a product or service, you earn a referral fee of up to $1,000 (+) per customer (see schedule below). Once the prospect becomes a customer, the entire presentation and closing experience, from sales to billing to customer service, will be our responsibility. It's a great way to earn extra income, with minimal costs and effort, and to provide your personal and business contacts with access to innovative new products and services. AGI may reject your application if we determine (at our sole discretion) that you and/or your organization are not suitable for the Program or have violated the spirit of the Program. AGI may determine (at our sole discretion) after your application is accepted, that a Referral Rep is no longer suitable for the Program. Violations include but are not limited to Referral Reps that:
- misrepresent the AGI Referral Rep Program
- misrepresent Referral Rep relationship with AGI
- does not properly disclaim that any site of or email from a Referral Rep is not a AGI site or email
- promote sexually explicit content
- promote violence
- promote illegal activities
- violate AGI's or any of its Technical Representatives intellectual property rights
- violate AGI's or any of its Technical Representatives copyright, trademarks, or service marks
- promote discrimination
- misrepresent AGI, our products or services
- is otherwise offensive in nature
- promote misleading or false information about AGI, its Technical Representatives or any of its Referral Reps, Resellers, or Wholesalers
- violate the spirit of this agreement

AGI's offerings are targeted towards the lucrative corporate market segment and delivers feature-rich and cost-effective alternatives to traditional market offerings. Customer Experience |
|
|
| From the point after a customer follows AGI-links from your referral to our website, we are responsible for all aspects of the customer experience. |
|
Referral Fees |
|
|
Referral fees are paid for qualified referrals. A Qualified referral must be presented through the Referral Representative link on the AGI website and become a first-time customer by purchasing an AGI product or service. The process is tracked via a Referral Rep code, which will be assigned to you after your application is accepted. The session ends on the earlier of the following events: (i) 24 hours elapses from the customer's initial click through, (ii) the customer orders service, (iii) customer follows a link to AGI from a third party website or other referral.
Fees are paid in accordance with the following schedule:

Fees are paid within thirty days of collection of amount owed. Payment will be withheld if customer's account is not in good standing. Referral Reps can earn referral fees by signing themselves up as a customer. However, it is the responsibility of the Referral Representative to review and resolve any potential “conflicts of interest.” |

Use of Refer-A-Friend |
|
|
| Referral Reps may utilize AGI’s Refer-A-Friend marketing program to sign up new customers. Referral Reps must designate which account(s) through which they intend to utilize the Refer-A-Friend marketing program. The Referral Rep will receive the appropriate referral fee and the Customer will receive the corresponding account credit. However, the Referral Rep account through which the Refer-A-Friend is being marketed and promoted shall not receive the reciprocal account credit. |

Policies |
|
|
| Customers who buy services through this Program are customers of Alphanumeric Group Inc. Accordingly, all Alphanumeric Group Inc. rules, policies, conditions and operating procedures will apply to those customers. We may change our policies and operating procedures at any time. |

Identifying Yourself as an Referral Rep |
|
|
| YOU MUST DISPLAY A DISCLAIMER THAT ANY SITE OR EMAIL ARE OWNED BY OR SENT BY THE REFERRAL REP AND NOT AGI. YOU MAY NOT ISSUE ANY PRESS RELEASE WITH RESPECT TO YOUR PARTICIPATION IN THIS PROGRAM OR THIS AGREEMENT WITHOUT THE EXPRESS WRITTEN CONSENT OF AGI. We will make available to you a graphic image that identifies you as a Program participant. You must display this image or the phrase "In association with Alphanumeric Group Inc." on the portions of your website that contain AGI links. We may modify the text or graphic image of this notice from time to time. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement. |

Limited License |
|
|
| We grant you a nonexclusive, revocable right to use the graphic image and text described for the purpose of identifying you as a Program participant. You may not modify the graphic image or text, in any way. You may not use any AGI images that were not provided to you by us in connection to the Program. We reserve all of our rights in the graphic image and text, any other images, our trade names and trademarks, and all other intellectual property rights. |

Your Responsibilities |
|
|
| You will be solely responsible for the development, operation, and maintenance of your website (if applicable) and for all materials that appear on your website. We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and content of your website. |

Term of the Agreement |
|
|
| The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement, you will immediately cease use of, and remove from your website, all links to our site, and all AGI trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you. |

Modification |
|
|
| We may modify any of the terms and conditions contained in this Agreement, at any time and at our sole discretion, by posting a change notice or a new agreement on our website. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR WEBSITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. |

Relationship of Parties |
|
|
| You and we are independent contractors, and nothing in this Agreement will create any Partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. |
|
Limitation of Liability |
|
|
| We will not be liable for indirect, special, or consequential damages (or any loss of profits, revenue or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement. |

Disclaimers |

|
| We make no express or implied warranties or representations with respect to the Program or any services sold through the Program (including, without limitation, warranties of merchantability, non-infringement, or any implied warranties arising out of a course of performance, usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. |

Independent Investigation |
|
|
| YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. |

Miscellaneous |
|
|
| This Agreement will be governed by the laws of the United States and the state of California, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, and be enforceable against the parties and their respective successors. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. |
